Commission Terms
For each CSX CLOUD Agent that CSX CLOUD accepts, CSX CLOUD will pay CSX CLOUD Agent a monthly residual Commission for the life of the Customer (i.e., until the Customer is no longer a CSX CLOUD customer of the Services). Commissions shall be calculated each month by multiplying the MRR billed to all of Sales Agent’s Customers by a percentage as determined in the below schedule (“Commission”). “MRR” means the then-current total amount of monthly recurring subscription revenue paid by Customers to CSX CLOUD for the applicable month of service. MRR does not include One-Time Charges (e.g., Implementation Fee, charges for a toll- free number, usage base charges, phones, etc.), Taxes or Administrative Fees. For example, if a Customer paid CSX CLOUD $73.90 in May 2010, of which $49.90 was a monthly recurring subscription fee, $20 was for One-Time Charges, $3.00 was for Taxes and $1.00 was for Administrative Fees, then the MRR for May 2010 is $49.90. “One-Time Charges” means any non-recurring charges billed to the Customer, including but not limited to charges for a toll-free number, charges for a vanity search/number, charges for phone and other equipment purchases and charges for professional recordings. “Services” shall mean all CSX CLOUD services that generate recurring charges to a Customer, and shall not include any products (e.g., vanity numbers, phone/equipment purchases) or that constitute One- Time Charges. “Taxes” means any and all federal, state, local, municipal, foreign and other taxes and fees charged or collected from “Customer” means any entity or person which Sales Agent or any of its Sub-agents refers to CSX CLOUD as a paying subscriber for the Products and Services hereunder (subject to CSX CLOUD’s acceptance) of such entity or person as a paying subscriber, as set forth in the Membership Terms and Conditions. CSX CLOUD reserves the right to pay commissions only when accrued commissions equals or exceed $100.
